Under the support and direction of the Senior Legal Counsel and Group Commercial Director,to be responsible for the negotiation of capital sales contracts for Clarke Energy’s business in the UK and Ireland with a view to ensuring that bids are submitted on a contractually sound basisand that final contracts accurately reflectthe agreed commercial proposal.Contracts will often be based on a standard formof construction contract (Fidic / MF/1 NEC etc)with appropriate amendments to be negotiated.Examplesof specific duties in connectionwith this include ensuringthat: limitations on liability arein linewith market practiceand properly protectthe Clarke Energy business; indemnitiesarenarrowlyand appropriately draftedto adequately protectthe Clarke Energy business; all liquidated damagesprovisionsare properly drafted;any express defects liability provisionsare clearly draftedand that where possibleall implied rightsare excluded;Clarke Energy’s liabilityfor latentand/or serial defectsismitigatedto the extent reasonably possible;andall customary contractor relief eventsare includedandthat paymentand security clausesare appropriate.

Underthesupport and directionof the Senior Legal Counsel and Commercial Manager toberesponsiblefor co-ordinatingand negotiatingkey sub-contractsfor ClarkeEnergy’sbusinessinUKandinIrelandtoensurethatwherepossibleall materialterms offeredtocustomers areeffectively replicatedtotheunderlyingsuppliersand key obligations arealignedwith themaincontract.Sub-contractswillbeeitherina bespokeformorbasedonastandardformofconstruction sub-contract.

To supporttheCommercialManagerandthewiderprojectdeliveryteamtoensurethat:(i) projects arebeingimplementedandmanagedinaccordancewiththeunderlyingrequirementsofthesignedcontracts;(ii) all relevantrelief eventsannoticesareproperlyserved; and(iii)theprojectdeliveryteamunderstandtheobligationssetoutincontracttoensureanefficientandexpeditiouscontractdeliveryprocess.

To providesupportandaguidanceonanycontractualdisputeswhichmayarise,andassisttheGroupCommercialDirectorandseniorLegalCounselwiththeexpeditioussettlementofthese matters.

Duties
UnderthesupportandthedirectionoftheSeniorLegalCounselandaUKCommercialServiceManager,to provideassistanceintheneogtiationofcertainoperationmaintenanceparts supply agreements tocustmerswhohavepurchasedgenerators/powerplantsfromClarkeEnergy.Specificdutiesinconnectionwiththisroleinclude:negotiatingapprovinganydeviationsfromClarkeEnergystandardcontractsrespectinglimitationsonliability insuranceobligationsorindemnifiedmatters; assistingwithinnegotiationavailabilityandreliabilityguarantees ;ensuringthat alldefectsliabilityobligationsproperlydraftedandexclusionssuchobligations effective ;ensuringchangeslaw exceptionalchangesbasecostsadequatelyaddressed suchthatClarkeEnergyhas someformmechanismtopasstheeffectsoncustomers ; assistingthereviewnegotiationvarioussupplychaincontracts particularlythosefromClarkeEnergy'skeysupplier INNIOJenbacherrespectgasgeneratorsassociatedspareparts.Negotiatingagreeingvariousancillarylegalagreementsincludingconfidentialityagreements collateralwarranties directagreements assignmentnovationagreements.Legalresearchincludingkeepingabreastproposedlegislativechanges helpingimplementpoliciesproceduresacrossthegroup ensurecomplianceanynewlegislation.Providingadhocguidance supportcolleagues contractualmatters constructionlaw includingtrainingnewprojectmanagersotheremployeesrequired.
