The Commission is looking to appoint a Chair to the Governance and Audit Committee.

Overview:
The Democracy and Boundary Commission Cymru (the Commission) is required to ensure that it has effective arrangements in place to provide an independent and high-level focus on the adequacy of governance, risk, and control arrangements. The Governance and Audit Committee’s (the Committee) role in ensuring that there is sufficient assurance over governance risk and control gives greater confidence to all those charged with governance that those arrangements are effective. The committee has oversight of both internal and external audit together with the financial and governance reports, helping to ensure that there are adequate arrangements in place for both internal challenge and public accountability.

Role Purpose:
Provide effective leadership to the Committee, ensuring high standards of corporate governance and personal integrity.

Accountability:
To the Commission

Key Responsibilities:
- Provide assurance to the Accounting Officer, ensuring that funds provided by the Welsh Government are applied properly and in accordance with the requirements of Welsh Government policies.
- Demonstrate innovative leadership to drive the Committee's strategic vision and adapt to emerging challenges and opportunities.
- Demonstrate independence, integrity, and impartiality in decision making according to legal, constitutional, and policy requirements.
- Consider the requirements of the Commission and professional advice from senior management including Chief Executive, Head of Policy & Programmes, Head of Business, Head of Democratic Health.
- Comply with the Commission’s Code of Conduct.
- Work according to Terms of Reference for the Committee.
- Contribute to development of forward work plan for Committee.
- Promote role of Committee within Commission.
- Respond to any recommendations made by Auditor General for Wales (Audit Wales).
- Set agenda for Committee meetings (supported by Finance Manager).
- Participate in any training or development required for role.

Contributing To The Work Of The Committee In Its Role In:
1. Reviewing & scrutinising financial affairs
2. Making recommendations regarding financial affairs
3. Reviewing & assessing ability report expenditure & budget position effectively
4. Overseeing internal & external audit arrangements
5. Working with internal & external auditors
6. Reviewing financial statements prepared by authority; approving them for signing
7. Contributing effectively performance
8. Reviewing & assessing ability handle complaints effectively
9. Reviewing & assessing ability handle Freedom Information requests effectively
10. Reviewing & assessing effectiveness ICT Security arrangements
11. Reviewing & assessing Governance Risk Management Control
12. Making recommendations on adequacy effectiveness those arrangements
13. Assessing financial risks associated corporate governance; ensuring assurance statements reflect risk environment activities improve it

Skills/Experience:

Essential Criteria:
1) Analytical Skills In Risk Performance Financial Management: Strong analytical skills identifying key issues implications
2) Relationship Building Stakeholder Confidence: Proven ability build maintain successful relationships provide challenge inspire confidence wide range stakeholders
3) Public Sector Challenges: Proven ability address key challenges public sector practical experience
4) Governance Audit Experience: At least 5 years experience Chair member Governance Audit Committees public private sector

Desirable Criteria:
1) Local Government Knowledge Wales: Knowledge local government operates importance democratic health
2) Legislative Framework Understanding: Understanding legislative framework within which operates ensure effective robust decision-making

Remuneration:
The Chair is entitled claim remuneration at rate £311 per day.Travel subsistence will be paid as required.Appointment will be fixed period 4 years
